1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Scope application, website, and related services (collectively, the "Service"), provided by Scope, LLC, an Ohio limited liability company ("Company," "we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of the Service

Scope is a software tool that uses artificial intelligence to analyze construction drawing revisions, identify changes between drawing versions or within a single marked-up drawing, and provide plain-language descriptions of those changes along with a confidence assessment for each finding.

The Service is an informational aid only. It is designed to help users more quickly identify and understand changes on construction drawings. It is not a substitute for professional judgment, licensed engineering review, or independent verification.

3. Not Professional or Engineering Advice

You acknowledge and agree that:

• The Service does not provide, and is not a substitute for, professional engineering advice, licensed architectural review, code compliance verification, or any other professional service requiring a license.
• Output from the Service — including but not limited to identified changes, descriptions, confidence scores, and impact notes — is generated using artificial intelligence and may be incomplete, inaccurate, or wrong.
• You are solely responsible for independently verifying all output against the actual source drawings, applicable codes, and professional judgment before relying on it for bidding, construction, procurement, safety, or any other purpose.
• The Service does not determine, and makes no representation regarding, compliance with any building code, electrical code (including the NEC), safety standard, or regulation.
• Confidence scores and hedged language used by the Service reflect the AI's own assessment of certainty and are not a guarantee of accuracy, even for items marked "high confidence."

Nothing generated by the Service should be treated as final, verified, or authoritative without independent professional review.

4. User Accounts

• You must provide accurate information when creating an account and keep your login credentials confidential.
• You are responsible for all activity that occurs under your account.
• You must be at least 18 years old to use the Service.

5. Subscription and Payment

• Scope is offered on paid monthly subscription plans, each including a monthly allotment of analysis credits. Current plans and pricing are shown on the pricing section of our site and in your billing settings.
• Fees are non-refundable except as required by law or as otherwise stated in these Terms.
• We may change pricing with 30 days' notice to active subscribers.
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

6. User Content and Uploaded Drawings

• You retain all ownership rights to any drawings, files, or content you upload to the Service ("User Content").
• By uploading User Content, you grant us a limited license to process, store, and analyze it solely for the purpose of providing the Service to you.
• You represent that you have the right to upload and share any User Content you submit, and that doing so does not violate any third party's rights, confidentiality obligations, or intellectual property rights (for example, a drawing set that belongs to your employer or a client).
• You are solely responsible for ensuring you have appropriate authorization to upload any drawing that was not created by you.

See our Privacy Policy for details on how User Content is stored, used, and shared with third-party service providers (including AI processing providers) as part of delivering the Service.

7. Prohibited Uses

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulation.
• Upload content you do not have the right to upload or share.
• Attempt to reverse-engineer, disrupt, or gain unauthorized access to the Service.
• Rely on Service output as a substitute for required professional or regulatory sign-off.
• Misrepresent Service output as independently verified fact when presenting it to third parties (e.g., clients, subcontractors, inspectors) without disclosing its AI-generated, unverified nature.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT ANY OUTPUT WILL BE ACCURATE OR COMPLETE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCOPE, LLC AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR DAMAGES ARISING FROM RELIANCE ON SERVICE OUTPUT, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Scope, LLC from any claims, damages, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your reliance on Service output without independent verification; (c) User Content you upload; or (d) your violation of these Terms.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms. You may stop using the Service and cancel your account at any time.

12. Changes to These Terms

We may update these Terms from time to time. We will notify active users of material changes. Continued use of the Service after changes take effect constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles.
